These Terms and Conditions ("Terms") govern your use of DigitalXYZ and its AI virtual employee service, Pixel ("the Service"). DigitalXYZ is a sub-brand of Digital Media Lab Inc. ("Digital Media Lab," "we," "us," or "our").

By using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. The Service

DigitalXYZ provides Pixel, an AI-powered virtual employee that completes business tasks on your behalf via Telegram. Pixel can assist with social media posts, customer replies, email drafts, research, content creation, administrative tasks, and other business-related work.

Pixel uses artificial intelligence to generate outputs based on your requests. Pixel is a productivity tool, not a replacement for professional advice in legal, medical, financial, or other regulated fields.

2. Account Registration

To use the Service, you must register an account by providing your full name, email address, phone number, business name, industry, and business address. You must:

3. Credits and Billing

The Service operates on a credit system:

Purchased credits are non-refundable. Once credits are purchased, they cannot be exchanged for cash, transferred to another account, or refunded. This applies even if you choose to cancel your subscription or close your account.

We reserve the right to change credit pack pricing and subscription rates with 30 days advance notice. Existing subscriptions will be honored at the original rate until the end of the current billing period.

Credits and Refunds

All credit purchases are final and non-refundable. Credits are consumed when Pixel delivers a completed task to you. Once a task result is sent, the credit is spent regardless of whether you use the result.

One credit covers one task. Examples of one task include: one social media post, one email, one research report, one piece of content, or one design. If your request involves multiple tasks, Pixel will inform you of the total credit cost before beginning work.

We do not offer re-dos, edits, revisions, or refunds for completed tasks. Pixel is an AI-powered tool and results may vary. It is your responsibility to review and use the output provided. If you are unsatisfied with a result, you may provide new instructions as a separate task (requiring additional credits).

Credits do not expire as long as your account remains active. Unused credits roll over month to month. If your account is inactive for 90 consecutive days, unused credits may be forfeited without notice.

You agree not to use the Service to:

We reserve the right to refuse any task request that violates these guidelines. Repeated violations may result in account suspension or termination.

5. AI Output Disclaimer

Important: Pixel generates content using artificial intelligence. AI-generated outputs may contain errors, inaccuracies, hallucinations, or content that is factually incorrect.

You acknowledge and agree that:

Pixel may produce outputs that are similar to existing content. You are responsible for ensuring your use of any output does not infringe on third-party rights.

6. Intellectual Property

Your content: You retain full ownership of all content, data, and information you provide to the Service. Your prompts, task requests, and business information remain your property.

AI outputs: Content generated by Pixel in response to your requests is provided for your use. You may use, modify, and publish AI-generated outputs as part of your business activities.

Our brand: The DigitalXYZ name, Pixel name, logo, branding, and all related intellectual property are owned by Digital Media Lab Inc. You may not use our trademarks, branding, or proprietary materials without our written permission.

Service technology: The underlying technology, algorithms, and systems that power Pixel are the proprietary property of Digital Media Lab Inc. and its licensors.

7. Limitation of Liability

To the maximum extent permitted by law:

These limitations apply regardless of the legal theory on which the claim is based, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify and hold harmless Digital Media Lab Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your use or distribution of AI-generated outputs.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, system failures, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance.

Telegram is a third-party platform. We are not responsible for any disruptions, outages, or changes to Telegram's service that may affect your ability to use Pixel.

10. Termination

By you: You may cancel your subscription and close your account at any time by contacting us or through the Telegram bot. Upon cancellation, your subscription will remain active through the end of the current billing period. Unused credits are non-refundable.

By us: We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if we reasonably believe your use of the Service may cause harm. We will provide notice before termination when possible, except in cases involving fraud, illegal activity, or immediate safety concerns.

Upon account termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted in accordance with our Privacy Policy.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Ontario, Canada.

12. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where appropriate, by sending a notification via Telegram or email. Changes will take effect 30 days after posting unless otherwise stated.

Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree with any changes, you must stop using the Service and contact us to close your account.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Digital Media Lab Inc. regarding your use of the Service and supersede any prior agreements or understandings.
